The Vendor Clause Assessment Team (VCAT) Lead role sits within the Third Party Contracting (TPC) Centre of Excellence (CoE) team, which is part of DB Global Procurement. The TPC CoE is accountable for driving contracting excellence across the Bank through robust governance, continuous system, process and framework improvements, and comprehensive training programs.

As a Team Lead in the Vendor Clause Assessment Team (VCAT), you will play a crucial role in ensuring the efficiency and effectiveness of the Bank's Global Procurement contract negotiations process and manage a team of VCAT Reviewers operating at the first-line of defense. You will act as a subject matter expert for the review of risk-type and legal clauses modified by our Suppliers, providing guidance and support to VCAT Reviewers whilst proactively identifying and implementing process improvements, such as to defined playbooks and guidance comprising the negotiation mandates the VCAT Reviewers operate to.

Responsibilities

  • Lead and manage a team of VCAT Reviewers, ensuring efficiency and effectiveness.
  • Act as a subject matter expert reviewing risk-type and legal clauses modified by Suppliers.
  • Guide and support VCAT Reviewers on clause deviations and negotiation mandates.
  • Evaluate and approve/reject standard clause deviations on behalf of the RTC and Legal functions, in line with defined playbooks/guidance.
  • Track and monitor contract clause deviation trends to enable continuous improvement.
  • Conduct reviews of non-standard risk-type provisions, resolving issues or escalating to relevant Risk Type Controller (RTC) or Legal teams.
  • Provide appropriate risk-type language to Contract Authors via DB’s Contract Lifecycle Management system, using the defined playbook or guidance document.
  • Proactively identify and implement process improvements for playbooks and negotiation guidance in collaboration with the TPC Centre of Excellence Team.
  • Oversee User Acceptance Testing (UAT) for updates to clauses in digitalized templates and playbooks/guidance and assist in identifying system issues. Coordinating with Legal and RTC stakeholders where appropriate.
  • Prioritize playbooks/ guidance documents change requests from a content perspective to ensure up-to-date negotiation mandates. Support the RTCs in preparation of changes to be agreed through the Contract quality Council (CQC).
  • Skills

  • Proven leadership and team management experience.
  • In-depth knowledge of contract negotiation processes, legal, and risk clauses.
  • Strong understanding of contract lifecycle management systems (e.g., Sirion, Icertis or Docusign).
  • Excellent analytical and decision-making skills for assessing modifications/deviations to standard clause positions.
  • Ability to provide clear and effective guidance and support to a team.
  • Strong communication and stakeholder engagement skills (e.g., Legal, RTC, TPC CoE).
  • Experience in process improvement and playbook development.
  • Strong attention to detail and accuracy in contractual review.
